Terms of Service

1. Acceptance of Terms

By accessing or using Layer1Auto at layer1auto.com, you confirm that you have read, understood, and agree to these Terms of Service and our Privacy Policy. If you do not agree with any part of these terms, you must not use the platform.

2. Who Can Use Layer1Auto

• Dealers — Must hold a valid state-issued motor vehicle dealer license. All dealer applications are reviewed and manually approved by Layer1Auto administrators. We reserve the right to reject any application without explanation.
• Consumers (Private Sellers) — Any individual 18 years of age or older may create a consumer account to list a personally owned vehicle for sale.
• All users — Must provide accurate registration information. Creating accounts with false information is grounds for immediate termination.

3. Dealer Subscriptions

• Dealer plans are billed monthly: Starter ($29/mo — up to 10 vehicles), Growth ($59/mo — up to 25 vehicles), Pro ($99/mo — unlimited vehicles)
• Subscriptions auto-renew monthly unless cancelled before the next billing date
• You may cancel at any time through your account settings. Cancellation takes effect at the end of the current billing period.
• We do not offer refunds for partial billing periods
• Layer1Auto reserves the right to change subscription pricing with at least 30 days’ advance notice to active subscribers
• Vehicle slots are tied to your active subscription. Vehicles exceeding your plan limit will not be published until you upgrade or reduce your inventory.

4. Consumer Listings

• Consumer listing plans are one-time fees: 1 Week ($9.99), 1 Month ($19.99), 3 Months ($39.99)
• Each plan covers one vehicle listing and one unique QR code
• Listings expire automatically at the end of the purchased period — there is no automatic renewal
• No refunds are issued once a listing has been published and a QR code generated
• Consumers are limited to one active vehicle listing per account

5. QR Codes and Vehicle Listings

• Each vehicle receives one unique QR code that links to its mobile landing page
• QR codes are non-transferable — they are permanently tied to the specific vehicle listing they were generated for
• You are solely responsible for the accuracy of all vehicle information, photos, and pricing you provide
• Layer1Auto does not inspect, verify, or guarantee vehicle condition, title status, mileage, or history
• Misrepresenting vehicle details is grounds for immediate account termination

6. Wholesale Marketplace and Wants Board

• The wholesale marketplace and wants board are restricted to verified dealers with active subscriptions only
• Layer1Auto acts solely as a connection platform — we do not facilitate, process, guarantee, or take commission on any dealer-to-dealer transactions
• When a wholesale offer is accepted, both dealers receive each other’s contact information and are independently responsible for completing the vehicle transaction, including payment, title transfer, and all legal obligations
• Wants Board posts expire automatically after 30 days
• Layer1Auto is not liable for the outcome of any transaction arranged through the wholesale marketplace or wants board

7. Prohibited Conduct

You may not use Layer1Auto to:

• List vehicles you do not own or have legal authority to sell
• Submit false, misleading, or fraudulent dealer credentials or license information
• Harass, defraud, or mislead other users of the platform
• Post vehicles with inaccurate descriptions, photos, or pricing with intent to deceive
• Scrape, copy, republish, or reverse-engineer any part of the Layer1Auto platform or its data
• Use automated tools to create accounts, post listings, or interact with the platform
• Violate any applicable local, state, or federal law in connection with your use of the platform

8. Limitation of Liability

Layer1Auto is a marketplace platform that connects vehicle sellers and buyers. We do not own, inspect, or guarantee any vehicles listed on the platform.

To the maximum extent permitted by applicable law, Layer1Auto shall not be liable for:

• The accuracy, completeness, or legality of any vehicle listing
• The outcome of any transaction between dealers, or between dealers and consumers
• Any direct, indirect, incidental, or consequential losses arising from use of the platform
• Any loss of data, revenue, or business opportunity
• Any unauthorized access to or alteration of your account or data

9. Termination

We reserve the right to suspend or permanently terminate any account, with or without notice, for violations of these terms, fraudulent activity, or conduct that we determine, in our sole discretion, is harmful to the platform, other users, or the public.

Upon termination, your access to the platform ceases immediately. Active subscription fees are non-refundable upon termination for cause.

10. Changes to Terms

We may update these Terms of Service at any time. We will notify active users of significant changes by email at least 14 days before the changes take effect. Continued use of the platform after the effective date of changes constitutes your acceptance of the revised terms.

11. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts located in Texas.
